Bohmian Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Bohmian website, hosted applications, APIs, integrations, managed assurance services, verifier services, and related services (collectively, the "Services") provided by Mitari, Inc. ("Bohmian," "we," "us," or "our").
By accessing or using the Services, you agree to be bound by these Terms. If you access or use the Services on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" and "Customer" refer to that entity.
The Services are intended for business and professional use. If you do not agree to these Terms, do not access or use the Services.

Bohmian provides software and AI-assisted assurance tools designed to help organizations define what should be true about their systems and work, evaluate artifacts and evidence against applicable requirements, identify potential defects or deficiencies, and maintain assurance evidence across development and operational workflows.
Depending on the applicable product, plan, configuration, or feature, the Services may analyze or process source code, repositories, pull requests, documents, spreadsheets, data, configurations, policies, standards, requirements, specifications, test results, prompts, model-related materials, and other artifacts.
The Services may include functionality for generating or extracting requirements; defining or managing assurance requirements or contracts; determining where requirements may apply; executing specialist verifiers; generating findings, evidence, recommendations, proposed fixes, or other analysis; producing verification or assurance statuses; monitoring repositories or other supported resources; accessing results through APIs; integrating with GitHub or other third-party systems; and managing assurance workflows.
Some features may be identified as beta, preview, experimental, coming soon, or otherwise not generally available. Descriptions of future functionality do not constitute a commitment that such functionality will be released or made available on any particular date.
3. Accounts, Organizations, and Administrators
You are responsible for maintaining the confidentiality and security of your account credentials, API keys, tokens, and other authentication mechanisms associated with the Services.
If you create, join, or administer an organization account, individuals designated as owners or administrators may be able to manage users, integrations, repositories, verifiers, requirements, billing, Assurance Credits, and other settings on behalf of the organization. You are responsible for ensuring that anyone you authorize to administer your organization has appropriate authority.
Bohmian may rely on instructions and actions submitted through your authorized accounts, credentials, organization administrators, integrations, and API keys as authorized by you.
You must promptly notify Bohmian if you become aware of unauthorized access to your account or credentials.
4. Customer Content, Requirements, and Outputs
"Customer Content" means repositories, code, documents, spreadsheets, data, policies, standards, requirements, configurations, prompts, credentials, instructions, files, evidence, and other materials that you or your authorized users submit to or make available through the Services.
The Services may extract, infer, draft, transform, organize, or otherwise generate statements of expected behavior, constraints, standards, policies, controls, evidence requirements, or other conditions that a system or artifact is expected to satisfy ("Requirements").
The Services may also generate findings, reports, evidence, explanations, recommendations, suggested changes, proposed fixes, scores, classifications, applicability determinations, requirement bindings, verification results, assurance statuses, or other generated materials ("Outputs").
Requirements generated or inferred by the Services are Outputs unless independently supplied by you.
You are responsible for determining whether any Requirement accurately represents your organization's actual intent, policies, standards, obligations, or expectations. The fact that Bohmian extracted, inferred, recommended, or displayed a Requirement does not mean that the Requirement is complete, correct, applicable, legally required, or appropriate for your organization.
Where the Services allow you to approve, reject, edit, bind, activate, or otherwise configure a Requirement, that action represents your configuration of the Service. It does not constitute validation by Bohmian that the Requirement is correct or sufficient.
5. Meaning of Verification and Assurance Results
Bohmian provides evidence-based automated analysis. Terms displayed by the Services such as "verified," "passed," "satisfied," "compliant," "critical," "warning," "approved," or similar labels describe the result of a particular analysis under the verifier, Requirements, configuration, Customer Content, evidence, models, and other information available to the Services at the time of evaluation.
Such a status does not mean that an artifact, system, decision, Requirement, or Output is universally correct, safe, secure, lawful, error-free, production-ready, or suitable for every purpose.
A successful verification or assurance result does not establish that all possible defects, risks, violations, or deficiencies have been identified. It does not constitute an audit, attestation, certification, legal opinion, accounting opinion, security certification, regulatory determination, or other professional assurance engagement.
Different verifiers, models, configurations, Requirements, evidence, or analysis settings may produce different results.
6. Your Responsibility for Inputs, Outputs, and Decisions
You are responsible for Customer Content and for all decisions made using the Services or Outputs.
You are responsible for reviewing, validating, testing, approving, and monitoring Outputs as appropriate for your use case and for determining whether Outputs are suitable for your systems, products, users, obligations, and risk tolerance.
Bohmian may generate incorrect, incomplete, inconsistent, insecure, non-performant, or otherwise unsuitable Outputs. Outputs may omit relevant issues or identify issues that do not ultimately apply.
You remain responsible for any decision to accept, reject, merge, deploy, execute, publish, distribute, implement, approve, or otherwise rely upon an Output.
Generated fixes, patches, code changes, document revisions, recommendations, or other remediation are drafts unless you independently determine otherwise.
You must maintain review, testing, backup, rollback, approval, security, and operational controls appropriate to your use of the Services.
7. No Professional Advice
The Services provide automated software analysis and assurance tooling. Bohmian does not provide legal advice, accounting advice, tax advice, investment advice, medical advice, security certification, regulatory certification, audit opinions, compliance opinions, or engineering sign-off.
Specialist verifiers may analyze materials relating to legal, financial, security, data, machine-learning, software, operational, or other specialized domains. The existence of a specialist verifier does not mean that Bohmian is acting as a law firm, accounting firm, auditor, certification body, investment adviser, engineering firm, or other licensed professional service provider.
You should obtain independent professional advice where appropriate to your use case.
8. Third-Party Services and Verifiers
The Services may interoperate with third-party platforms, model providers, repositories, APIs, tools, or verification systems.
Certain Bohmian products or open assurance workflows may allow you to configure or use verifiers, adapters, models, credentials, or services provided by you or by third parties.
When you configure the Services to send Customer Content or other information to a third-party service or verifier, you instruct and authorize Bohmian to transmit the information reasonably necessary to perform that integration or verification.
Third-party services are governed by their own terms and policies. Bohmian does not control and is not responsible for third-party services, their availability, their security, their processing of information, or the accuracy or reliability of outputs they produce.
Bohmian-managed verifiers offered as part of the Services remain subject to these Terms.
9. Open-Source Software and Wyrd
Bohmian may make certain software, specifications, libraries, components, or projects, including Wyrd, available under open-source or other separate licenses.
To the extent software is distributed under an identified open-source license, your rights to copy, modify, distribute, or otherwise use that software are governed by the applicable open-source license rather than the restrictions in these Terms.
These Terms govern Bohmian's hosted Services and managed services even where those Services interoperate with, implement, host, or build upon open-source software.
Nothing in these Terms limits rights expressly granted to you under an applicable open-source license.
10. Acceptable Use
You may use the Services only in compliance with applicable law and only with respect to systems, materials, and information that you own or are authorized to process.
You may not use the Services to violate law or the rights of others; process materials without sufficient rights or authorization; gain unauthorized access to systems or data; distribute or facilitate malicious software; interfere with or disrupt the Services; circumvent usage, billing, authentication, or security controls; or use the Services in a manner that creates unreasonable security, privacy, infrastructure, or operational risk to Bohmian or others.
11. Integrations and Permissions
You are responsible for configuring and maintaining repository permissions, organization settings, access controls, API credentials, GitHub App permissions, branch protections, CI/CD controls, approval rules, webhooks, third-party integrations, and other systems connected to the Services.
You are responsible for granting integrations only the repositories, resources, scopes, and permissions appropriate for your organization and for revoking access when it is no longer required.
Bohmian is not responsible for unauthorized access, repository changes, failed checks, deployments, third-party actions, or other consequences resulting from your configuration, credentials, permissions, automated workflows, or third-party integrations, except to the extent directly caused by Bohmian's breach of these Terms.
12. Your Representations and Warranties
You represent and warrant that you have all rights, permissions, consents, and authority necessary to provide Customer Content to the Services and authorize its processing as contemplated by these Terms.
You further represent and warrant that your use of the Services and Customer Content will not violate applicable law, contract, confidentiality obligations, intellectual property rights, privacy rights, or other third-party rights.
13. Ownership
As between you and Bohmian, you retain all right, title, and interest in Customer Content.
To the extent Bohmian generates Outputs specifically for you, Bohmian assigns to you any right, title, and interest Bohmian may have in those Outputs, subject to Bohmian's continuing ownership of its underlying technology and materials.
Outputs may include Requirements, reports, findings, evidence summaries, recommendations, generated code, suggested edits, or other customer-specific results.
Bohmian retains all right, title, and interest in the Services and Bohmian technology, including its software, models, prompts, orchestration, verifier logic, workflows, taxonomies, scoring and evaluation methods, algorithms, interfaces, designs, documentation, reusable components, generalized know-how, and improvements.
Customer ownership of Outputs does not transfer ownership of Bohmian technology or reusable materials used to generate those Outputs.
Rights in open-source software are governed separately as described in Section 9.
14. Limited License
Subject to these Terms, Bohmian grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the hosted Services for your internal business or professional purposes during the applicable subscription or authorized usage period.
This license does not apply to open-source software separately licensed to you.
15. Restrictions
Except to the extent expressly permitted by an applicable open-source license or by law notwithstanding this restriction, you may not copy, modify, adapt, distribute, sell, sublicense, reverse engineer, decompile, disassemble, or attempt to discover the non-public source code, prompts, models, algorithms, verifier logic, or trade secrets underlying the hosted Services.
You may not use the hosted Services or non-public Bohmian Outputs, metadata, documentation, workflows, performance information, or observations to build, train, fine-tune, evaluate, benchmark, reproduce, or improve a competing commercial assurance or verification product.
You may not systematically scrape or extract information from the Services except through interfaces expressly provided for that purpose.
You may not probe, jailbreak, prompt-inject, model-extract, prompt-extract, systematically query, or otherwise attempt to discover or reproduce Bohmian's non-public models, prompts, classifiers, scoring systems, verifier logic, evaluation methods, safeguards, or security controls except as expressly authorized by Bohmian in writing.
These restrictions do not prevent you from using Outputs in the ordinary course to review, improve, remediate, document, or operate your own systems and work.
16. Feedback
If you provide feedback, suggestions, or ideas concerning the Services, you grant Bohmian a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without restriction or compensation to you.
This does not give Bohmian ownership of Customer Content merely because Customer Content is used in connection with feedback.
17. Confidentiality
Each party may receive non-public information from the other that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information").
Customer Confidential Information includes non-public Customer Content.
Bohmian Confidential Information includes non-public product functionality, security information, pricing, technical information, prompts, models, verifier logic, evaluation methods, benchmark information, roadmaps, business plans, and other non-public Bohmian materials.
The receiving party will use Confidential Information only as necessary to perform its obligations, exercise its rights, evaluate or use the Services, or as otherwise permitted by these Terms. The receiving party will protect Confidential Information using at least reasonable care and will disclose it only to personnel, contractors, service providers, professional advisers, and other authorized recipients who need access and are subject to appropriate confidentiality obligations.
These restrictions do not apply to information that the receiving party can demonstrate was already lawfully known without restriction, becomes public through no breach of these Terms, is received lawfully from another source without confidentiality obligations, or is independently developed without use of the other party's Confidential Information.
A party may disclose Confidential Information where required by law or legal process, provided that it gives reasonable prior notice where legally permitted.
18. Privacy, Data Handling, and Service Providers
Bohmian may process Customer Content, Outputs, account information, usage information, logs, metadata, and other information reasonably necessary to provide, operate, secure, troubleshoot, support, and improve the Services.
Bohmian may use third-party infrastructure, model providers, hosting providers, payment processors, communications providers, and other subprocessors in providing the Services.
Bohmian will not use Customer's private Customer Content to train third-party foundation models except with Customer's consent.
Bohmian may create and use aggregated, anonymized, or de-identified information derived from use of the Services for analytics, security, product improvement, research, capacity planning, and development, provided such information does not identify Customer or disclose Customer's proprietary Customer Content.
Additional information about Bohmian's handling of personal information is described in the Bohmian Privacy Policy. Where applicable, a separately executed data processing agreement or other written agreement may supplement these Terms.
19. Fees and Payment
Fees are due as stated at checkout, on the applicable pricing or plan page, in an Order Form, on an invoice, or in another written agreement with Bohmian.
You authorize Bohmian and its payment processor to charge the applicable payment method for fees, recurring subscription charges, purchased Assurance Credits, applicable overages, and taxes that you authorize through the Services.
Except as expressly provided in these Terms, at the time of purchase, or in a separate written agreement, fees are non-refundable.
Bohmian may suspend access to paid features for overdue amounts, failed payments, chargebacks, suspected fraud, or material abuse of the Services.
20. Subscriptions
Certain Services are offered on a recurring subscription basis. The applicable subscription term, price, included usage, Assurance Credits, enabled verifiers, feature limits, and other plan terms will be presented at signup, checkout, on the applicable plan page, or in an Order Form.
Unless otherwise stated at purchase or in an Order Form, a self-service paid subscription automatically renews for successive periods equal to the initial subscription period until canceled.
You may cancel a self-service subscription before its next renewal through available billing settings or by contacting Bohmian. Cancellation prevents the next renewal charge and ordinarily takes effect at the end of the then-current paid subscription period.
Except where required by law or expressly stated otherwise, cancellation does not entitle you to a prorated refund for the current subscription period.
Upgrades, downgrades, plan changes, and resulting billing adjustments will take effect as described in the Services at the time the change is requested.
Bohmian may change subscription prices or plan terms prospectively. Changes to recurring self-service subscription prices will apply no earlier than a subsequent renewal, unless you affirmatively agree to an earlier change. Bohmian will provide any notice required by applicable law.
21. Assurance Credits and Usage
Bohmian may measure use of certain Services through usage units referred to as "Assurance Credits" or "Credits."
Assurance Credits may be included with a subscription, purchased separately, granted for an evaluation or promotion, or provided under an Order Form.
The number of Assurance Credits required for an operation may vary depending on the applicable verifier, analysis mode or intensity, artifact type or size, processing complexity, model usage, feature, workflow, or other usage characteristics.
Bohmian may establish different credit-consumption rates for different operations. Applicable consumption rules will be identified through the Services, pricing materials, checkout flow, documentation, or an applicable Order Form.
Assurance Credits are units of Service usage only. They do not constitute money, stored value, securities, property, or a fixed entitlement to any specific amount of compute, tokens, model usage, processing time, files, lines of code, API requests, findings, verifier executions, or other resources.
Credits have no cash value and are non-transferable outside the Customer organization unless Bohmian expressly permits otherwise.
Credits included with a subscription expire, roll over, or carry forward as stated in the applicable plan or Order Form. Separately purchased prepaid Credits expire twelve months after purchase unless a different expiration period is disclosed at purchase or agreed in writing.
Promotional, trial, evaluation, or complimentary Credits may have different expiration dates and restrictions.
Where a subscription or Order Form permits usage beyond included Credits, additional usage may be charged at the applicable overage rate. If overage usage is not enabled, Bohmian may prevent additional credit-consuming operations until additional Credits become available or are purchased.
Bohmian may modify credit-consumption rules prospectively as products, verifiers, analysis modes, and infrastructure evolve. Such changes will not retroactively alter Credits already consumed and will not override fixed commercial terms in an applicable Order Form.
22. Credit Consumption and Failed Operations
Credits may be reserved or consumed when an eligible operation begins processing, as indicated by the applicable Service.
Credits are charged for performing the applicable analysis and are not contingent upon the operation identifying a finding, producing a particular recommendation, returning a particular assurance status, or producing an outcome that Customer considers useful.
If a credit-based operation fails to complete solely because of a Bohmian-controlled system error, Bohmian may restore the applicable Credits, rerun the operation without an additional charge, or provide another reasonable remedy.
Credits ordinarily will not be restored for failures or incomplete results caused by invalid or unsupported Customer Content, Customer configuration, credentials, permissions, repository settings, third-party services, third-party outages, external rate limits, or other matters outside Bohmian's reasonable control.
23. Trials, Evaluations, and Promotional Access
Bohmian may offer trials, evaluations, pilot access, promotional Credits, or other limited access from time to time.
Any specific duration, usage limits, Credits, conversion to a paid subscription, payment requirements, or other conditions applicable to an offer will be disclosed when the offer is made.
Unless otherwise agreed in writing, trial, evaluation, preview, and promotional access may be modified or discontinued at any time and does not include any service-level commitment.
24. Beta and Experimental Services
Bohmian may offer beta, preview, experimental, pre-release, or otherwise developing products, verifiers, features, integrations, or analysis modes.
Such functionality may contain errors, change materially, produce incomplete or inconsistent results, or be withdrawn.
Unless otherwise agreed in writing, beta and experimental features are provided without any SLA, availability commitment, support commitment, indemnity, or obligation to maintain the feature.
25. Service Changes and Availability
Bohmian may improve, modify, add, remove, suspend, or discontinue portions of the Services as the product evolves.
For self-service Services, Bohmian may change available features, usage limits, integrations, supported artifact types, supported models, or verifier availability from time to time.
Separate Order Forms, enterprise agreements, or service-level agreements may provide additional commitments.
Bohmian does not guarantee uninterrupted or error-free availability unless expressly agreed in writing.
26. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE."
MITARI, INC. DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, SECURITY, AND ANY WARRANTY THAT THE SERVICES OR OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, OR FREE OF HARMFUL COMPONENTS.
BOHMIAN DOES NOT WARRANT THAT ANY VERIFIER, REQUIREMENT, FINDING, ASSURANCE RESULT, RECOMMENDATION, GENERATED CHANGE, REPORT, OR OTHER OUTPUT WILL IDENTIFY ALL RELEVANT ISSUES OR WILL BE CORRECT, COMPLETE, SAFE, COMPLIANT, OR SUITABLE FOR PRODUCTION OR ANY PARTICULAR PURPOSE.
27. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MITARI, INC. AND ITS AFFILIATES, FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, SECURITY, OR SYSTEM AVAILABILITY, ARISING OUT OF OR RELATING TO THE SERVICES, OUTPUTS, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF MITARI, INC. AND ITS AFFILIATES, FOUNDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO MITARI, INC. FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS (US $100).
These limitations do not limit Customer's payment obligations, indemnification obligations, liability for violation of Bohmian's intellectual property rights, breach of confidentiality obligations, or misuse of the Services in violation of Sections 10 or 15.
Some jurisdictions do not permit certain exclusions or limitations of liability, so portions of this section may not apply to you.
28. Indemnification
You will defend, indemnify, and hold harmless Bohmian and its affiliates, founders, officers, directors, employees, contractors, agents, licensors, and service providers from third-party claims, actions, liabilities, damages, judgments, settlements, losses, costs, and reasonable attorneys' fees arising out of or relating to your Customer Content; your violation of these Terms or applicable law; your violation of a third party's rights; or your implementation, deployment, publication, distribution, or other use of Outputs.
This section does not require you to indemnify Bohmian to the extent a claim results directly from Bohmian's breach of these Terms or willful misconduct.
29. Suspension and Termination
Bohmian may suspend or terminate access to the Services if you materially violate these Terms, fail to pay amounts when due, create material security or operational risk, use the Services unlawfully, or where continued provision of the Services is prohibited by law or no longer technically feasible.
Where reasonably practicable, Bohmian will provide notice and an opportunity to cure a remediable violation before termination, except where immediate action is reasonably necessary to protect the Services, Bohmian, Customer, or others.
You may stop using the Services at any time. Stopping use does not by itself cancel a paid subscription; paid subscriptions must be canceled as described in Section 20.
Upon termination or expiration, your right to use the applicable hosted Services ends. Provisions that by their nature should survive will survive, including ownership, confidentiality, restrictions, payment obligations, disclaimers, limitations of liability, indemnification, and dispute-related provisions.
30. Modifications to These Terms
Bohmian may update these Terms from time to time.
If Bohmian makes material changes, it may provide notice through the Services, by email, or by another reasonable method. Updated Terms will identify their effective date.
Changes will apply prospectively from their effective date and will not retroactively alter commercial commitments expressly established in an existing Order Form or other written agreement.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
31. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Washington, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Washington, and each party consents to the personal jurisdiction and venue of those courts.
32. Order of Precedence
If you and Bohmian enter into a separately executed master services agreement, enterprise agreement, Order Form, data processing agreement, service-level agreement, or other written agreement governing the Services, that agreement will control over these Terms to the extent of a direct conflict.
An Order Form may establish different subscription terms, Credit allocations, expiration rules, usage rates, renewal provisions, payment terms, or other commercial terms.
Open-source licenses govern the software expressly distributed under those licenses as described in Section 9.
33. Miscellaneous
These Terms, together with any applicable Order Form or other agreement incorporated by reference, constitute the agreement between you and Bohmian concerning the Services covered by them and supersede prior or contemporaneous understandings concerning that subject matter.
If any provision of these Terms is held unenforceable, the provision will be enforced to the maximum extent permissible and the remaining provisions will remain in effect.
A party's failure to enforce a provision is not a waiver of that provision.
You may not assign these Terms without Bohmian's prior written consent. Bohmian may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of substantially all relevant assets, or by operation of law.
Nothing in these Terms creates a partnership, joint venture, fiduciary relationship, employment relationship, franchise, or agency relationship between the parties.
